1. Acceptance of Terms
By accessing and using Music Vortex, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.
Free Browsing & Optional Unlocks: The platform does not require payment to browse or preview music. Certain content or features may be offered as optional paid unlocks determined by the artist.
2. User Accounts
Users must:
- • Be at least 18 years of age or the legal age in their jurisdiction
- • Provide accurate and complete registration information
- • Maintain the security of their account credentials
- • Accept responsibility for all activities under their account
3. Unlocking Content (No Ownership Transfer)
🔑 Critical Definition: What Does "Unlock" Mean?
Music Vortex allows users to "unlock access" to songs and audio content on the platform.
Unlocking does NOT constitute a purchase, sale, or transfer of ownership. All copyrights, master rights, and intellectual property rights remain solely with the original artist, creator, or rights holder.
What "Unlock" Means
When a user unlocks a song, they are granted a non-exclusive, non-transferable, revocable license to access and use that content only within the Music Vortex platform, subject to the rules, limitations, and permissions defined by Music Vortex and the content creator.
Unlocking content may include:
- • Streaming songs within the platform
- • Adding to your personal web-based playlists
- • Using the song in platform-approved features
- • Accessing the song during the active unlock period (if applicable)
Unlocking does NOT include:
- • Ownership of the song, master recording, or copyrights
- • Downloading or redistributing the content outside the platform (unless explicitly permitted)
- • Reselling, sublicensing, or transferring access to others
- • Claiming copyright or exclusive rights
- • Commercial use (unless specified by creator)
Access Limitations & Revocation
Unlocked content remains subject to artist agreements, platform rules, licensing changes, and account status.
Music Vortex reserves the right to modify, suspend, or revoke access to unlocked content if required by legal, licensing, or policy reasons, or in cases of misuse or violation of these Terms.
Payments & Unlock Fees
Any payment associated with unlocking content represents a fee for access, not a purchase of the song itself. Fees are non-refundable unless otherwise required by law or explicitly stated by Music Vortex.
User Acknowledgment
By unlocking content on Music Vortex, you acknowledge and agree that:
- • You are unlocking access, not purchasing music
- • You do not gain ownership or intellectual property rights
- • Your use is limited to what Music Vortex and the artist allow
- • Access may be modified or revoked under certain conditions
For Content Creators
- • You retain 100% ownership of your uploaded content
- • You grant Music Vortex a non-exclusive license to display and distribute your content
- • You warrant that you own or have permission to upload all content
- • You are responsible for all copyright clearances
- • You set the access price and terms for users to unlock your content
4. Prohibited Conduct
Users shall NOT:
- • Upload content they do not own or have permission to use
- • Engage in copyright infringement or piracy
- • Distribute malware, viruses, or harmful code
- • Harass, threaten, or abuse other users
- • Attempt to circumvent preview limitations or access control systems
- • Claim ownership of unlocked content or misrepresent licensing terms
- • Use bots, scrapers, or automated tools without permission
5. Platform Fees & Seller Earnings
5.1 Optional Platform Fee
The Platform Fee is currently optional and may be waived at the seller's discretion during account setup or via Creator Settings.
- • Default platform fee: 15% (sellers keep 85%)
- • Sellers may opt out and keep 100% of their sales
- • Opt-out is permitted at the platform's current discretion
- • Fee structure applies per transaction at time of sale
5.2 Company's Reserved Rights
The Company reserves the unrestricted and absolute right to:
- • Modify the platform fee percentage at any time
- • Enforce the platform fee globally or selectively
- • Disable seller opt-out functionality
- • Reinstate mandatory fees without prior notice
- • Apply fees retroactively or prospectively
- • Adjust fee structures per seller, per category, or platform-wide
5.3 Acceptance of Fee Changes
Continued use of the platform after any fee modification constitutes your acceptance of the new fee structure. If you do not agree with fee changes, you must cease using the platform.
5.4 Transaction Processing
- • All transactions are processed securely
- • Fees are calculated and deducted at time of unlock transaction
- • Transaction records include gross amount, platform fee, and creator payout
- • Refunds and access revocation are handled on a case-by-case basis
⚠️ Fee Authority Clause
By creating a seller account and uploading content, you acknowledge and agree that the Company has full discretion over platform fee policies and that these policies may change at any time without your consent. No prior fee agreement limits the Company's right to modify, enforce, or implement fees.
6. Content Moderation
Music Vortex reserves the right to review, moderate, approve, or remove any content at our discretion. All uploads are subject to approval before going live. Content that violates our policies, infringes copyright, or is deemed inappropriate may be removed without notice.
7. Account Termination
We may suspend or terminate accounts for:
- • Violation of these Terms of Service
- • Copyright infringement or repeat DMCA violations
- • Fraudulent activity or payment disputes
- • Abuse of platform features or other users
8. Disclaimer of Warranties
Music Vortex is provided "AS IS" without warranties of any kind. We do not guarantee uninterrupted access, error-free operation, or that content will meet your requirements.
9. Limitation of Liability
Music Vortex shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the platform.
10. Changes to Terms
We reserve the right to modify these terms at any time. Continued use of the platform after changes constitutes acceptance of the modified terms.
